Exactive Accounting – Terms of Business

These Terms of Business (the "Agreement") are between Exactive Accounting (the "Firm"), a professional accounting service provider, and the client (the "Client"). By engaging Exactive Accounting’s services, the Client agrees to these Terms of Business.

1. Services Provided

 Exactive Accounting offers the following services to the Client:

  - Accounting and financial reporting

  - Tax advisory and preparation

  - Business consulting and planning

  - Bookkeeping

  - Any additional services agreed upon in writing between the Firm and the Client

The scope of services to be provided will be outlined in the specific engagement letter or contract for each project or service.

2. Fees and Payment

2.1 Fees 

Fees for services rendered will be based on the complexity of the work, the time spent, and the hourly rates or fixed fees agreed upon in the engagement letter or proposal. The Client will be informed of any anticipated costs in advance.

 

2.2 Payment Terms 

Invoices for services will be issued at regular intervals as agreed in the engagement letter. Payment is due at the date of the invoice. If the Client fails to pay within the specified period, the Firm reserves the right to charge interest on overdue amounts at a rate of the Bank of England’s base interest rate per month.

 

2.3 Expenses 

The Client agrees to reimburse the Firm for any reasonable expenses incurred while providing the services, including travel, filing fees, or third-party services, unless otherwise agreed in writing.

3. Client Responsibilities

3.1 Cooperation 

The Client agrees to provide Exactive Accounting with all necessary information, documents, and cooperation required for the Firm to provide the agreed services. The Firm is not responsible for delays or errors caused by a lack of timely or accurate information from the Client.

3.2 Accuracy of Information 

The Client affirms that all information provided to the Firm is true, complete, and accurate to the best of their knowledge. The Firm is not liable for any outcomes resulting from inaccuracies or omissions in the provided information.

 4. Confidentiality

The Firm agrees to maintain the confidentiality of all information provided by the Client, including financial and personal data, in accordance with applicable data protection and privacy laws. This confidentiality obligation does not apply if the Firm is required to disclose information due to legal requirements.

5. Limitation of Liability

To the fullest extent permitted by law, Exactive Accounting’s liability for any claims, losses, or damages arising from the provision of services shall be limited to the fees paid by the Client for the specific service that gave rise to the claim. The Firm will not be liable for any indirect, incidental, or consequential damages.

6. Termination of Services

6.1 By the Client 

The Client may terminate the services at any time by providing written notice to the Firm. Fees for work performed up to the termination date will be due.

 

6.2 By the Firm 

Exactive Accounting may terminate services if the Client fails to meet payment obligations or breaches the terms of this Agreement. In such cases, the Client will be responsible for fees for work completed up until the date of termination.

7. Dispute Resolution

Any disputes arising from or in connection with this Agreement will first be addressed through good-faith negotiations between the Client and the Firm. If the dispute cannot be resolved through negotiation, the matter will be referred to mediation or arbitration.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of The United Kingdom without regard to its conflict of law principles.

9. Amendments

Any amendments or changes to these Terms of Business must be made in writing and signed by both the Firm and the Client.

10. Severability

If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remainder of the Agreement shall remain in full force and effect.

11. Entire Agreement

These Terms of Business, along with any engagement letter or proposal, constitute the entire agreement between Exactive Accounting and the Client and supersede any prior discussions, agreements, or understandings.
